Terms of Service

    The rules of the road for using Prop Archive.

    Last updated: October 5, 2026 · Version 2026-10-05

    1. Agreement to these Terms

    These Terms of Service are a binding agreement between you and Prop Archive LLC ("Prop Archive," "we," "us"). You accept them by checking the agreement box when you create an account, or by using Prop Archive. You must be at least 18 years old and using the service for property management purposes. If you don't agree with these terms, don't use the service.

    Prop Archive is currently in a private beta. Beta invitations are personal to you and may not be transferred, shared, or resold.

    2. The beta program

    During the beta, Prop Archive is free to use. In exchange, you understand and agree that: the product is still being built; features may change, break, or be removed without notice; we make no uptime or support commitments; and we may suspend or end your beta access, or the beta program itself, at any time and for any reason. Keep your own copies of critical documents.

    3. Feedback: required, and ours to use

    Beta access is granted in exchange for your feedback. You agree to provide reasonable feedback about the platform when we request it, for example short surveys, bug reports, or an occasional conversation about your experience. If you don't participate, we may remove you from the beta program and you may forfeit the launch reward described in Section 4.

    You grant Prop Archive a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, modify, and build on any feedback, suggestions, or ideas you share with us, without compensation or attribution. Don't include anyone else's confidential information in your feedback.

    4. Launch reward: 6 months free

    As a thank-you, beta users whose accounts are in good standing when Prop Archive publicly launches will receive six (6) months of the standard subscription plan free, starting at public launch. This reward is personal to your account, non-transferable, has no cash value, is limited to one per account, and is forfeited if you violate these terms. We'll notify you before your free period ends; continued use after that requires a paid subscription.

    5. Confidentiality

    During the beta and for two (2) years afterward, you agree to keep confidential any non-public information about Prop Archive, including unreleased features, pricing plans, performance characteristics, and pre-release materials. You're welcome to tell people you use Prop Archive. This obligation doesn't apply to information that is publicly available through no fault of yours, or that you're legally compelled to disclose.

    6. Our intellectual property

    The Prop Archive platform, its software, design, features, branding, and everything else that makes it up, is owned by Prop Archive LLC and protected by intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the service for managing your properties. No other rights are granted.

    You agree not to:

    • copy, scrape, crawl, or systematically extract any part of the service;
    • reverse engineer, decompile, or attempt to derive the source code;
    • resell, sublicense, rent, or provide the service to third parties;
    • use the service, or information gained from it, to build, benchmark, or assist a competing product; or
    • remove or alter any proprietary notices.

    7. Your content

    You own the data you put into Prop Archive: your properties, documents, tenant records, and files. You grant us only the license we need to host, process, back up, and display that content in order to run the service for you. You're responsible for having the rights to everything you upload, including personal information about your tenants and contractors.

    8. Acceptable use

    Don't use Prop Archive to break the law, harass anyone, send spam, or distribute malware. Don't upload content you don't have rights to, share your login credentials, attempt to access other users' data, circumvent security or access controls, or misuse the personal information of tenants or contractors. We may suspend or terminate accounts that violate these rules, immediately and without notice where the violation is serious.

    9. Prop Archive is software, not a party to your leases

    Prop Archive is a tool. We are not a landlord, property manager, real estate broker, law firm, accounting firm, or payment guarantor, and we are not a party to any lease, contract, or dispute between landlords, tenants, or contractors. You are solely responsible for your leases, your compliance with landlord-tenant law, fair housing law, and all other laws that apply to you, and the outcomes of your business decisions. Nothing in the service, including document templates, reminders, or AI-generated summaries, is legal, financial, or tax advice.

    10. Payments

    Rent payments are processed by Stripe through Stripe Connect and flow directly to the landlord's connected Stripe account. Prop Archive does not hold your money. Stripe's own terms apply to payment processing. Any platform fee we charge will be clearly disclosed before you're charged. Disputes about a payment between a landlord and tenant are between those parties.

    11. AI features

    Prop Archive uses AI to classify documents and extract details like lease dates and rent amounts. AI output can be incomplete or wrong. You agree to verify AI-extracted information against your original documents before relying on it, and you accept that we are not liable for decisions made on unverified AI output.

    12. Disclaimer of warranties

    PROP ARCHIVE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. We don't promise the service will be uninterrupted, error-free, or secure. Keep independent backups of anything critical.

    13. Limitation of liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROP ARCHIVE'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF $100 OR THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY.

    14. Indemnification

    You agree to defend and indemnify Prop Archive LLC and its owners and employees against claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your use of the service, your violation of these terms, or your violation of any law, including landlord-tenant and fair housing law, or the rights of any third party.

    15. Dispute resolution: arbitration and class-action waiver

    Talk to us first. Before filing any claim, you agree to email theo@proparchive.biz with a description of the dispute and give us thirty (30) days to resolve it informally.

    Binding arbitration. Any dispute not resolved informally will be settled by binding arbitration on an individual basis under the American Arbitration Association's Consumer Arbitration Rules, rather than in court. Either party may instead bring an individual claim in small claims court, and either party may seek injunctive relief in court for infringement or misuse of intellectual property or breach of confidentiality.

    CLASS-ACTION AND JURY-TRIAL WAIVER. YOU AND PROP ARCHIVE EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. Claims may only be brought individually.

    Opt-out. You may opt out of this arbitration agreement by emailing theo@proparchive.biz within 30 days of first accepting these terms, with the subject line "Arbitration Opt-Out" and your account email.

    16. Governing law and venue

    These terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules. Any proceeding not subject to arbitration must be brought exclusively in the state or federal courts located in Philadelphia County, Pennsylvania, and you consent to their jurisdiction.

    17. Termination

    You may stop using Prop Archive and close your account at any time. We may suspend or terminate your access at any time, including immediately for violations of these terms. Sections that by their nature should survive, including intellectual property, feedback, confidentiality, disclaimers, limitation of liability, indemnification, and dispute resolution, survive termination.

    18. Changes to these terms

    We may update these terms as Prop Archive evolves. Material changes will be announced by email before they take effect, and the version and date at the top of this page will change. Continuing to use the service after changes take effect means you accept them.

    19. Miscellaneous

    If any part of these terms is found unenforceable, the rest remains in effect. Our not enforcing a provision isn't a waiver of it. You may not assign these terms; we may assign them in connection with a merger, acquisition, or sale. These terms, together with the Privacy Policy, are the entire agreement between you and Prop Archive LLC about the service.
